Terms & Conditions

Docuscan Services Inc.

Effective Date: December 26, 2025

1. Acceptance of Terms

By submitting documents to or otherwise engaging the services of Docuscan Services Inc. (“Company”), the client (“Client”) agrees to these Terms and Conditions. These Terms constitute the entire agreement governing the services unless superseded by a written agreement signed by both parties.

2. Scope of Services

The Company provides document scanning, digitization, indexing, and related services strictly as requested by the Client. The Company does not review, verify, interpret, or validate the content, completeness, legality, or accuracy of any documents.

Services are limited to mechanical conversion of documents into digital format unless otherwise expressly agreed in writing.

3. No Professional or Legal Advice

The Company does not provide legal, medical, financial, or compliance advice. Scanned documents are provided “as is” and should not be relied upon as substitutes for original records.

4. Client Responsibilities and Representations

The Client represents and warrants that:

  • They have full legal authority to submit documents for scanning

  • The documents do not infringe on privacy rights, intellectual property rights, or confidentiality obligations

  • Documents are free of hazardous materials (including mold, biohazards, or contaminants)

  • Originals have been retained or backed up prior to submission

The Client assumes all risk related to document condition, content, and compliance with applicable laws.

5. Confidentiality

The Company treats all documents and data as confidential and limits access to authorized personnel. Confidentiality obligations apply during and after service completion; however, the Company is not responsible for disclosures resulting from factors beyond its reasonable control.

6. Data Security Disclaimer

The Company implements commercially reasonable administrative, physical, and technical safeguards. However:

  • No data transmission or storage system can be guaranteed 100% secure

  • The Company does not warrant that systems will be free from unauthorized access, cyber incidents, or data loss

The Client accepts these inherent risks.

7. Data Retention and Deletion

Unless otherwise agreed in writing:

  • Physical documents will be returned or destroyed at the Client’s direction

  • Digital files will be deleted from Company systems within 7 days after delivery

The Company has no obligation to retain copies and shall not be liable for data loss after delivery or deletion.

8. Quality, Errors, and Review Period

The Company does not guarantee error-free scanning. Issues may arise due to document condition, binding, handwriting, faded text, or formatting.

The Client must inspect all deliverables within 7 days of receipt. Failure to report issues within this period constitutes acceptance of services.

9. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages

  • The Company shall not be liable for loss of data, loss of profits, business interruption, or legal exposure related to document content

  • Total liability for any claim shall not exceed the amount paid by the Client for the specific service giving rise to the claim

Under no circumstances shall the Company be liable for the value of original documents.

10. Indemnification

The Client agrees to defend, indemnify, and hold harmless the Company, its owners, employees, and contractors from any claims, damages, fines, penalties, or legal fees arising from:

  • The content, ownership, or legality of documents

  • Breach of these Terms

  • Third-party claims related to scanned materials

  • Regulatory or compliance obligations tied to the documents

11. Force Majeure

The Company shall not be liable for delays, losses, or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, fire, theft, power outages, system failures, or government actions.

12. Payment and Suspension

Invoices are due as stated. The Company reserves the right to withhold delivery, suspend services, or delete stored files for non-payment.

13. Termination

The Company may terminate services immediately for breach of these Terms or unsafe document conditions. All fees for services performed remain due. Sections relating to confidentiality, limitation of liability, indemnification, and governing law survive termination.

14. Governing Law and Venue

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict of law principles.

​

The parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of British Columbia, and the courts sitting in British Columbia, for the resolution of any dispute arising out of or relating to these Terms or the services provided by the Company.

​

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
